1.1 These Terms of Sale apply to all offers, quotations, order confirmations, and sales of products by Ratouli Foods to business customers (B2B).

1.3 The customer's own purchasing terms are expressly excluded unless Ratouli Foods has agreed in writing.

3.1 All offers and quotations are non-binding unless explicitly stated otherwise.
3.2 Quotations are valid for 7 days, unless stated otherwise in writing.
3.3 An order becomes binding only after Ratouli Foods issues an order confirmation (written, including email or other written confirmation).
3.4 Ratouli Foods may refuse orders without stating reasons.
4.1 All prices are exclusive of VAT.
4.2 Prices are exclusive of transport and delivery costs, unless stated otherwise in the quotation or order confirmation.
4.3 If cost components increase after order confirmation (for example transport, raw materials, packaging, compliance requirements, taxes), Ratouli Foods may adjust prices where legally allowed, or propose an updated quotation.
5.1 Payment terms may differ per customer and will be stated on the invoice and/or order confirmation. If no payment term is stated, the default payment term is 14 days from invoice date.
5.2 For new customers, Ratouli Foods may require full prepayment before shipment.
5.3 If the customer fails to pay on time:

6.1 Delivery is either:

6.2 Unless expressly agreed otherwise, risk transfers to the customer at the moment the goods leave Ratouli Foods' premises (departure from our warehouse), regardless of who arranges transport.
6.3 Delivery times are indicative unless explicitly agreed as fixed deadlines in writing.
6.4 Ratouli Foods may deliver in parts unless agreed otherwise.
7.1 Many products are perishable and require strict cold chain handling. The customer must:
7.2 If the customer fails to follow cold chain requirements, Ratouli Foods cannot be held responsible for resulting quality or safety issues.
8.1 The customer must inspect the goods immediately upon receipt.
8.2 Any visible defects, damage, or shortages must be reported to Ratouli Foods within 24 hours after receipt, in writing (email is acceptable), including clear photos and details where possible.
8.3 If the customer does not report within the stated period, the goods are deemed accepted.
8.4 Complaints do not suspend payment obligations unless Ratouli Foods confirms otherwise in writing.
9.1 Due to the nature of chilled and frozen meat and fish products, returns are not accepted, unless:
9.2 If Ratouli Foods accepts a return or replacement, the customer must follow Ratouli Foods' instructions for handling and transport.
10.1 Product specifications, labels, and documentation provided by Ratouli Foods (including allergens and packaging information) are leading.
10.2 The customer acknowledges that weight and quantity may be subject to tolerances due to:
Minor deviations do not constitute a defect.
11.1 Ratouli Foods is not liable for delays or non-performance due to force majeure, including but not limited to: transport issues, customs delays, import/export restrictions, supplier failures, strikes, power outages, system failures, fire, flood, illness, pandemics, government measures, or other circumstances beyond Ratouli Foods' reasonable control.
11.2 During force majeure, Ratouli Foods may suspend obligations. If force majeure lasts longer than reasonable, parties may discuss cancellation or adjustment.
12.1 Ratouli Foods' liability is limited to direct damages and to the invoice value of the relevant delivery, unless mandatory law provides otherwise.
12.2 Ratouli Foods is not liable for indirect damages such as lost profit, consequential loss, business interruption, or reputational damage.
12.3 The customer is responsible for compliance with local laws and regulations in the destination country, including labeling requirements, import rules, and resale conditions, unless explicitly agreed otherwise.
13.1 All delivered goods remain the property of Ratouli Foods until the customer has fully paid all amounts due, including interest and costs.
14.1 If Ratouli Foods produces private label or co-packed products for the customer:
14.2 Ratouli Foods produces according to the customer's approved specifications. After approval, changes may result in additional costs and adjusted lead times.
14.3 The customer indemnifies Ratouli Foods against third-party claims arising from customer-provided branding, artwork, or specifications.
15.1 These Terms and all agreements are governed by Dutch law.
15.2 Any disputes shall be submitted to the competent court in Noord-Holland, The Netherlands, unless mandatory law provides otherwise.
16.1 If any provision is invalid or unenforceable, the remaining provisions remain in force.
16.2 Deviations from these Terms are only valid if agreed in writing by Ratouli Foods.
